Terms of use

These Terms of Use (“Terms”) are a binding agreement between you and Persist Ventures (“we,” “us,” or “our”) governing your use of the Startupathon website and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Platform. By using Startupathon, you represent that you meet these requirements and that the information you provide is accurate and complete.

Startupathon is a hiring and accelerator program that connects candidates with startup roles at teams affiliated with Persist Ventures. The Platform allows you to browse open roles, create a profile, submit applications, complete assignments, and track your progress through the hiring process.

We may modify, suspend, or discontinue any part of the Platform at any time. We do not guarantee that any role listing will remain open, that you will receive an interview or offer, or that the Platform will be uninterrupted or error-free.

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to:

• Provide accurate, current, and complete registration information
• Keep your account information up to date
• Notify us promptly of any unauthorized use of your account
• Not share your account or use another person's account

We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or integrity risk to the Platform.

When you apply to a role or submit an assignment, you represent that all materials you provide are your own work (unless otherwise disclosed) and do not infringe any third-party rights.

By submitting an application or assignment, you grant Persist Ventures and the relevant hiring team a non-exclusive license to review, store, and use those materials solely for recruitment, evaluation, and related administrative purposes.

Hiring decisions are made at our discretion. Submitting an application does not create an employment relationship, guarantee an interview, or obligate us to provide feedback.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of applicable law
• Provide false, misleading, or impersonated information
• Harass, abuse, or harm other users or Platform staff
• Attempt to gain unauthorized access to accounts, systems, or data
• Scrape, crawl, or use automated means to access the Platform without permission
• Upload malware, spam, or content that is defamatory, obscene, or infringing
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer or attempt to extract source code except where permitted by law

We may investigate violations and take appropriate action, including removing content and terminating access.

The Platform, including its design, branding, text, graphics, and software, is owned by Persist Ventures or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license or ownership rights are transferred to you.

“Startupathon” and related marks are trademarks of Persist Ventures. You may not use our marks without prior written permission.

The Platform may integrate with or link to third-party services, such as Google Sign-In or external company websites. Your use of those services is governed by their own terms and policies. We are not responsible for third-party services.

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that role descriptions, compensation details, or other listing information are complete or current. You should verify important details directly with the hiring team before making decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSIST VENTURES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations of liability. In those cases, the above limitations apply to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Persist Ventures and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your applications or submissions, your violation of these Terms, or your violation of any third-party rights.

You may stop using the Platform at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or if we discontinue the Platform.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Platform will be resolved in the state or federal courts located in Delaware, and you consent to their exclusive jurisdiction, except where prohibited by applicable law.

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and revise the “Last updated” date. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Persist Ventures regarding the Platform. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of that provision.

You may not assign your rights under these Terms without our consent. We may assign our rights and obligations without restriction.
